You may think of your commercial contracts as insurance policies: documents that may be stored away until the commercial relationship changes or something goes wrong, in which case they should provide you with clear, effective answers and solutions.
We aim to provide you with commercial contracts that are as clear, concise and unambiguous as possible. We have excellent precedent banks that are regularly updated to take account of changes in law and commercial trends. You need to ask yourself: why do I need a commercial contract; how will I intend to use it; what are the key points that it must cover; and which remedies are most appropriate for me in the event that something goes wrong?
Your commercial agreements are likely to fall within two distinct categories: one set for your internal business affairs such as Shareholder Agreements, Partnership Agreements, Joint Venture Agreements and bank and finance documents such as Personal Guarantees; and one set for external use – usually with suppliers and clients such as Supply Agreements, Purchase Agreements, standard terms of business, Distribution Agreements, Agency Agreements, Software and IT Contracts, Franchise Agreements, Intellectual Property Contracts.
You may from time be presented with contracts prepared by others. You can rely on us to review them for you, advise on their implications for your business and recommend changes. You may just want us to review part of a contract rather than the whole document in order to save time and money and we are happy to do that whenever possible. You will receive a written report from us outlining points of concern and our recommendations.
