Commercial Contracts notes
Shareholder Agreements
We think of the Shareholders' Agreements that we produce as ‘insurance policies' designed to prevent litigation. We can include clauses to avoid disputes over the transfer of shares, the appointment and removal of directors in a company, or to help with the resolution of disputes within a company. We can also advise you on ways to make sure staff or shareholders do not undermine your business, as well as attaching different values to classes of share.
Partnership Agreements
When you carry on a business as a partnership it is vitally important that a clear agreement is entered into between the partners of the business. This is to protect the interests of each partner and to ensure that a record exists of how the business is to run, and most importantly the profits split!
Standard Terms & Conditions in Supply Agreements
We can help get your business in shape; by helping you get clear supply agreements in place. The advantage to you and your business is you know as far as possible where you stand. Our focus is on helping you to obtain the best possible deal with as little risk of liability as possible.
Agency Agreements
You may wish to expand your market or sell your product in new territories by using an agent with expert knowledge of that area. Ultimately you will contract with the customer and therefore you will remain liable to that customer. Agency agreements are useful where an agent has greater knowledge of the particular market or territory and therefore agents are often used when selling abroad.
Distributorship Agreements
You may wish to expand your market by supplying goods to a distributor who in turn will sell them to customers. It would be unusual for you to be contractually liable to the customer yourself and it is the distributor who bears the commercial risk of selling the goods that he has purchased from you. This is a very complex area of law, and there is a tendency amongst lawyers to bogged down in the detail. As your lawyers we'll worry about the detail, and tell you in clear terms how best to start selling your good or services most viably, and with as little red tape and bureaucracy as possible.
IT Contracts
We can help you draft or implement a range of IT Contracts. This is an ever-changing area of law, and with the advent of e-commerce and online trading, and a developing body of law it is essential that businesses have lawyers who take a practical hands on approach. We have the technical know how to ensure your business is protected and your profits maximised.
Intellectual Property
There is a tendency amongst businesses to forget about protecting one of their key assets, their Intellectual Property. We can help you get the most from this asset by preparing publishing agreements, trademark licenses, assignments and a whole host of other agreements all designed to exploit your intellectual property to the fullest and in turn provide you with a secured financial return.
Bank, Finance and Security Documents
Making sure your business is suitably financed is crucial we can help you with practical advice about the sorts of security a bank or lending institution may look for. We can take care of liaising with the bank and provide them with any confirmations and certificates that they may require in order that you receive your loan or facility as soon as possible.
